AMBASSADOR PROGRAM AGREEMENT

This Ambassador Program Agreement ("Agreement") is entered into as of [Date], by and between Covet & Mane, LLC, a New Jersey Limited Liability Company with its principal place of business located at 28 Valley Rd Suite 1 Montclair, NJ 07042 ("Company"), and the undersigned ambassador ("ambassador"), collectively referred to as the "Parties."

Company desires to engage ambassador to refer new clients to Company in exchange for a commission on sales, in accordance with the terms and conditions of this Agreement; and

Ambassador desires to accept such engagement, subject to the terms and conditions set forth in this Agreement;

In consideration of the mutual covenants and agreements contained herein, the Parties hereby agree as follows:

1. Engagement and Services: ambassador shall refer potential clients to Company using a unique referral code or link provided by Company through Refersion (or another designated ambassador tracking software). ambassador shall ensure all referrals are made in a manner that is consistent with the terms of this Agreement and any guidelines provided by Company.

2. Approval Process: All referred clients must undergo Company's standard approval process. Ambassador's entitlement to commissions is contingent upon the referred client's approval and the completion of a purchase within thirty (30) days of such approval.

3. Commission Structure: ambassador shall receive a commission equal to twenty percent (20%) of the net value of the first purchase made by a successfully referred and approved client. Commissions will be calculated monthly and paid within fifteen (15) days following the end of each calendar month.

4. Term and Termination: This Agreement shall commence on the Effective Date and continue in full force and effect until terminated by either Party with thirty (30) days written notice. Upon termination, ambassador shall be entitled to any earned but unpaid commissions.

5. Compliance with Laws: Both Parties agree to comply with all applicable federal, state, and local laws, including, but not limited to, New York State law governing ambassador marketing and consumer protection.

6. Indemnification: ambassador agrees to indemnify, defend, and hold harmless Company from any claims, damages, liabilities, costs, and expenses arising from ambassador's breach of this Agreement or any violation of law or the rights of a third party.

7. Confidentiality: ambassador shall maintain the confidentiality of all proprietary or confidential information disclosed by Company during the term of this Agreement and for a period of three (3) years thereafter.

8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.

9. Entire Agreement: This Agreement constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
